Practising Certificates for Company Secretaries: Proposed Regulations

The Companies Commission of Malaysia, or Suruhanjaya Syarikat Malaysia (SSM), will be bringing into force the last remaining provision of the Companies Act 2016 (CA 2016). This is section 241 of the CA 2016 on the requirement for all company secretaries to register with SSM. SSM will issue practising certificates to all company secretaries.

In line with the coming into force of section 241 of the CA 2016, SSM has published  its Consultative Document on the Proposed Companies (Practising Certificate) Regulations 2019. SSM has invited comments on the Consultative Document by 30 October 2018.

Bursa Malaysia Seeks Feedback on Review of Listing Requirements: Companies Act 2016

In light of the Companies Act 2016 coming into force on 31 January 2017, Bursa Malaysia has announced on 20 March 2017 that it has issued a consultation paper to seek public feedback on the proposed review of the Listing Requirements. You can access the consultation paper here and feedback is to be given by 14 April 2017.

Reading the consultation paper, I set out below on an interesting proposed move towards greater transparency in the remuneration of directors. It is proposed that new requirements be put in place for tighter shareholder approval and for disclosure of remuneration on a named basis.

This consultation paper is to be read together with the earlier two directives / clarifications from Bursa Malaysia dated 2 February 2017 and 10 March 2017.

Appearance on Bloomberg TV: Suits meets The Newsroom

Bloomberg Malaysia came across my earlier TML post on the Companies Bill and invited me on their show  to have a short chat. I was a bit nervous leading up to it, with it being my first TV interview. But I am glad I got to share my views on the new Bill.

I spoke about how the new laws would transform the corporate landscape, spur entrepreneurship and also strengthen corporate governance.
